Terms of Service

These terms are the agreement between you and Sunel. By creating an account you accept them. If you are using Sunel for a company, you confirm you are authorized to accept these terms on that company's behalf, and “you” means both you and that company.

1. Who we are and what Sunel does

Sunel is operated by Guardianz, a company registered with the Dubai Department of Economy and Tourism (the Dubai Economic Department), Dubai, United Arab Emirates.

Sunel is a marketing dashboard and content assistant. You add a website you control; Sunel analyzes it, brings your own performance data from the services you connect into one place, and drafts marketing work — strategy documents, SEO findings, social posts, articles, replies and, where you have connected a code repository, proposed code changes. Everything arrives in a review feed. Sunel drafts and recommends; you decide what is published.

2. Eligibility and your account

  • You must be at least 16 years old to create an account, and old enough under the law where you live to enter into a binding contract. Sunel is not intended for children.
  • You must give accurate account information and keep it current, including a working email address.
  • You are responsible for your credentials and for everything done through your account. Tell us promptly at [email protected] if you think it has been accessed by someone else. You can review and revoke every active session yourself from Settings → Account & Security.
  • If you invite teammates to a project, you are responsible for their use of it and for having the right to share the project's data with them.

3. Websites and accounts you connect

Sunel only ever works on properties that are yours. By adding a website or connecting an account, you represent and warrant that:

  • you own the website you submit, or you are authorized by its owner to market it and to have it analyzed and modified through Sunel;
  • you own, or are an authorized administrator of, every account you connect — analytics properties, search console properties, social accounts, content management systems, code repositories and messaging channels — and you may lawfully grant Sunel access to them;
  • for any Google Business Profile you connect (through our publishing partner), you are a verified owner or an authorized manager of that listing, and the business it represents is genuinely yours to manage;
  • you have the rights to any content, images or brand materials you upload or ask Sunel to publish.

Submitting a website or connecting an account you are not authorized to manage is a material breach of these terms and grounds for immediate termination.

4. Acceptable use

You agree not to use Sunel to:

  • break the law, infringe anyone's rights, or market illegal goods or services;
  • publish content you know to be false or deliberately misleading, impersonate a person or business, or post fake or incentivized reviews;
  • spam, astroturf, or run coordinated inauthentic activity. Drafts prepared for community venues such as Reddit or Hacker News are for you to post personally and transparently;
  • harass, defame or target individuals — including in replies to reviews or comments;
  • probe, disrupt, overload or reverse-engineer the service, circumvent credit limits or plan gates, or use automated means to extract data from it;
  • resell, sublicense or white-label the service without our written agreement, or create accounts in bulk.

5. AI-assisted content, review and ownership

Sunel's output is generated with AI models and, however carefully it is checked, can be wrong, out of date, or unsuitable for your situation.

  • You review before anything is published. Work arrives as a draft for your approval. Where you choose to switch on an automation setting that lets Sunel post a specific class of content on your behalf, you remain fully responsible for what is published under it, you are told on every item that it was posted that way, and you can switch it off in one click.
  • You own your outputs. You keep all rights in your website content and in the marketing work produced for your projects; to the extent we hold any rights in that output, we assign them to you on delivery. You grant us only the limited licence we need to store and process your content in order to provide the service.
  • Accuracy is your call before it goes out. You are responsible for the legality, accuracy and compliance of everything you publish — including the accuracy of local business information such as hours, offers and pricing.
  • No guarantees of results. We do not promise, and nothing in the product should be read as promising, any particular search ranking, traffic volume, local-pack or map visibility, review rating or review outcome, engagement, lead volume, or revenue. Similar output may be generated for other customers working in similar markets; we claim no exclusivity over output and neither should you.

6. Third-party platforms and their rules

When Sunel acts on a connected account, it acts as your agent, under your credentials and your relationship with that platform. Some connections are made through an authorized third-party publishing provider, which does not change your obligations to the underlying platform.

  • You remain bound by the terms and policies of every platform you connect — including Google's terms and its Google Business Profile content policies, and the terms of Meta, LinkedIn, X, and any CMS or repository host you use.
  • You are responsible for the accuracy and policy-compliance of local content published to a Business Profile, including posts, offers and replies to reviews.
  • Platforms change their APIs, their rules and their access tiers without notice. That can break or restrict an integration; where a platform blocks an action, Sunel offers a manual alternative where it can. Loss of a third-party integration is not a failure of the service and does not entitle you to a refund.
  • A platform may suspend or penalize your account for content published through Sunel. You accept that risk as the publisher of that content.

7. Plans, credits and billing

Sunel is priced per website. Current prices and the per-task credit table are shown in the app and on the pricing page, and those are the prices that apply when you subscribe.

  • Free plan. A limited set of agents runs daily at no credit cost, along with a one-time allocation of trial credits shown in the app, so you can try the paid features.
  • Paid plan. Billed monthly per website through Stripe, and includes a monthly credit allowance. The monthly allowance resets at the start of each billing cycle and does not roll over.
  • Top-up packs. One-time credit purchases. They do not expire, and they are consumed only after your monthly allowance is used up.
  • Automatic top-up. Optional, off by default. If you turn it on, we charge your saved payment method for the pack you selected when your balance runs low, subject to the monthly spending cap you set. When that cap is reached, automatic top-ups pause instead of continuing to charge you.
  • What a credit buys. Each delivered item has a fixed credit price shown in the app. Internal quality checks and revisions never increase what you pay — you are charged for the delivered item, not for the work behind it.
  • Failed work is refunded in credits. If a run fails, its credits are returned automatically; where a run only partly failed, the failed components are refunded individually.
  • Running out of credits does not switch you off. When a paid project's balance reaches zero it enters Reserve Mode — a reduced, zero-credit work rhythm — rather than stopping.
  • Taxes. Prices exclude VAT and any other applicable taxes, which are added where required.
  • Failed payments. If a payment fails we will retry and notify you. Persistent non-payment may result in the plan reverting to Free or the account being suspended.

8. Cancellation and refunds

  • You can cancel at any time from Settings → Billing. Your paid plan stays active until the end of the period you have already paid for; you are not charged again after that.
  • Except where the law gives you a right to a refund, fees already paid are non-refundable, and unused credits are not exchangeable for money.
  • Deleting a website cancels its subscription first, so you are never left paying for a project that no longer exists.
  • If we materially reduce the service you paid for, or terminate your account without cause, we will refund the unused part of your current period.

9. Your data, export and deletion

Your data stays yours. How we handle it is set out in our Privacy Policy, which forms part of these terms.

  • You can export your strategy documents, articles and feed items from the app, and request a full copy of your account data at [email protected].
  • You can delete any project, or your entire account, yourself. Deletion is a real cascade delete of the underlying records, not a hidden flag.
  • We do not use your content, or your customers' data, to train AI models. Data obtained from Google APIs is additionally subject to the Limited Use commitments in the Privacy Policy.
  • You grant us a limited, non-exclusive licence to store, process and transmit your content strictly to operate the service for you, including sending it to the AI providers and processors named in the Privacy Policy. That licence ends when you delete the content or your account.

10. Availability, support and changes to the service

  • We aim for high availability but do not commit to an uptime figure. Scheduled work may be delayed, retried, or occasionally missed — for example during maintenance or a third-party outage.
  • Edits you make to your profile, strategy documents, competitors, writing instructions or preferences apply to the next scheduled run, not retroactively to work already produced.
  • We may add, change or remove features. If we remove something material that you rely on, we will tell you in advance where we reasonably can.

11. Disclaimers

To the maximum extent permitted by law, the service is provided “as is” and “as available”, and we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty that the service will be uninterrupted, error-free, or that AI-generated output will be accurate, complete or suitable for your purposes. Nothing in Sunel is legal, financial, tax or professional advice.

Nothing in these terms excludes or limits liability that cannot lawfully be excluded, including for death or personal injury caused by negligence, for fraud, or under mandatory consumer protection law.

12. Limitation of liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential or punitive damages; for lost profits, lost revenue, lost data, or lost business opportunity; for the consequences of content you chose to publish; for decisions you took based on AI-generated recommendations; or for the acts, outages, policy decisions or penalties of any third-party platform.

Our total aggregate liability for all claims arising out of or relating to the service is limited to the greater of the amounts you actually paid us in the twelve months before the event giving rise to the claim, or USD 100.

13. Suspension and termination

  • You may stop using Sunel and delete your account at any time.
  • We may suspend or terminate an account that breaches these terms, that abuses the service, that puts other users or third parties at risk, or where we are legally required to. Where it is practical and lawful, we give notice first and a chance to fix the problem.
  • On termination your right to use the service ends immediately. Give us a reasonable opportunity to export your data first; we will not delete it faster than the retention schedule in the Privacy Policy requires.
  • Sections 5, 9, 11, 12, 14 and this sentence survive termination.

14. Governing law and disputes

These terms, and any dispute arising out of or in connection with them or the service, are governed by the laws of the Dubai International Financial Centre (DIFC), United Arab Emirates, without regard to conflict-of-laws rules. The courts of the DIFC have exclusive jurisdiction, and you and we submit to that jurisdiction.

If you are a consumer resident elsewhere, this does not deprive you of the protection of mandatory consumer-law provisions, or of the right to bring proceedings in the courts of your country of residence, where the law of that country gives you that right.

15. Changes to these terms

We may update these terms. We will post the new version here and update the date at the top. For material changes we will notify you by email at least 14 days before they take effect. If you keep using Sunel after that date, you accept the updated terms; if you do not agree, cancel before they take effect.

If any provision of these terms is held unenforceable, the rest stays in force. Our not enforcing a provision is not a waiver of it. You may not assign these terms without our consent; we may assign them to a successor in connection with a merger, acquisition or sale of assets. These terms and the Privacy Policy are the entire agreement between us about the service.
